Definitions

ThePromSite.Com offers a sales web portal to participating entities. The arrangement between ThePromSite.Com and a participating entity is called an Affiliation. The participating entity is called an Affiliate Store or Affiliate Service, without regard to that entity's non-web presence, whether as manufacturer and supplier, merchandising outlet or service provider. Users of ThePromSite.Com and it's Affiliate Stores are called visitors. For purposes of this agreement, ThePromSite.Com and PromDress.Net websites shall be considered a single entity.

The store and company information ThePromSite.Com publishes is supplied voluntarily by its affiliates. ThePromSite.Com does not engage in direct commerce on behalf of any of its affiliates. It provides merchandising space and links from product displays published on our website to Affiliate Store's website or online store. Where applicable, it provides information about offline store locations. ThePromSite.Com does not promote one Affiliate over another but endorses all equally.

Force Majeure

ThePromSite.Com shall not be held to be in breach of this Agreement by reason of any failure or delay in its performance hereunder if such failure is due to causes beyond its reasonable control, including but not limited to technical, hardware or software failures of any kind, periodic server maintenance, acts of the other party, act of God, delays in transportation, inability beyond its reasonable control to obtain necessary labor or materials, or events such as fires, floods, earthquakes, storms, war, act of public enemy, civil commotions and the like or by any law, rule, regulation, order or other action by any public authority. ThePromSite.Com reserves the right to periodic downtime or unavailability of the website. In the event of interruption of display or distribution of the Affiliation or other site content, ThePromSite.Com 's sole obligation shall be to restore service as soon as reasonably possible.

Use of Website by Minors

Where the law prohibits, ThePromSite.Com does not condone or endorse the dissemination of information or sale of products and services to minors. ThePromSite.Com does not accept liability for Visitor or Affiliate Store activity in respect to illegal access to or sales of goods and services to minors. In the event of a dispute arising through such a violation, Visitor or their representatives agree to defend, indemnify, and hold harmless ThePromSite.Com and its directors, officers, agents, and employees for any and all losses, costs, liabilities or expenses (including without limitation reasonable attorneys' and expert witnesses' fees).

Integrity of Affiliate Store Information

In providing a shopping service, ThePromSite.Com distributes information to Visitor through links to websites that are not operated or owned by ThePromSite.Com. It does not endorse those sites, nor is it responsible for the content of those sites, or for the treatment Visitor might receive at those sites when arriving there through a link supplied by ThePromSite.Com.

ThePromSite.Com does not accept liability for the integrity of Affiliate Store information. To the fullest extent permissible pursuant to applicable laws, ThePromSite.Com makes no warranties, express or implied as to the accuracy or legitimacy of the information it presents.

Because ThePromSite.Com does not engage in Visitor-to Store transactions or Store-to-Visitor transactions, ThePromSite.Com does not accept liability for the success or legitimacy of such transactions. Privacy

ThePromSite.Com does not share personal or consumer information with third parties, including Affiliate Stores. However, we have no control over information submitted by Visitor directly to Affiliate Stores, and accept no liability for the use by Affiliate Store of such information.

Indemnification

Visitor agrees to defend, indemnify, and hold harmless ThePromSite.Com and its directors, officers, agents, and employees for any and all losses, costs, liabilities or expenses (including without limitation reasonable attorneys' and expert witnesses' fees) arising from any special, consequential or exemplary damages suffered by Visitor. Acknowledged damages include (i) the use or the inability to use the Affiliate service or for the cost of procurement of substitute goods and services, (ii) any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Affiliate Service, (iii) unauthorized access to or alteration of Visitor's transmissions or data, (iv) any other matter relating to the Affiliate service, including but not limited to, damages for monetary losses, damaged merchandise, use, data, or other intangibles. This shall be in effect even if ThePromSite.Com is aware and/or has been advised in advance of the possibility of such damages.

Visitor further agrees that ThePromSite.Com shall not be liable for any damages arising from interruption, suspension or termination of Affiliate service, including but not limited to direct, indirect, incidental, special consequential or exemplary damages, whether such interruption, suspension or termination was justified or not, negligent or intentional, inadvertent or advertent. Visitor agrees that ThePromSite.Com shall not be responsible or liable to Visitor, or anyone, for the statements or conduct of any third party to the service.

Disclaimer of Warranties

Under no circumstances will ThePromSite.Com be liable for any special, indirect or consequential damages resulting from any use or performance of or content errors or omissions in the material, even if it is aware and/or notified in advance of the potential for such damages.

Visitor agrees that use of ThePromSite.Com shopping service is at Visitor's sole risk. The service is provided on an "as is" and on an "as available" basis. ThePromSite.Com expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

ThePromSite.Com makes no warranty that the shopping service will meet Visitor's requirements, that the shopping service will be uninterrupted, timely, secure, or error free; nor does ThePromSite.Com make any warranty as to the results that may be obtained from the use of the shopping service or as to the accuracy or reliability of any information obtained from the shopping service.

Visitor understands and agrees that any information or material and/or goods or services obtained from Affiliate Stores represented at the ThePromSite.Com website is done at Visitor's own discretion and risk and that Visitor will be solely responsible for any damage resulting from any transaction.

No advice or information, whether oral or written, obtained by Visitor from ThePromSite.Com or through or from the shopping service shall create any warranty not expressly stated herein.
